Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using CardBasis, you represent that you meet these requirements and, if you are using the Service on behalf of a business, that you have authority to bind that business to these Terms.

2. The Service

CardBasis is a subscription platform that helps card resellers manage inventory, track sales, and organize business records. CardBasis is a tool for organizing your own data — it does not buy, sell, appraise, authenticate, or grade cards, and it does not guarantee the accuracy of any pricing, valuation, or market data displayed in or imported into the Service.

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@getcardbasis.com if you suspect unauthorized use of your account. We are not liable for losses caused by unauthorized use of your account, but you may be liable for losses caused by your failure to safeguard your credentials.

4. Subscription, Billing, and Free Trial

• CardBasis is offered as a paid subscription with two billing options: $9.99/month, or $99/year (plus applicable taxes), billed through our payment processor, Stripe.
• New accounts receive a 30-day free trial, regardless of which billing option you select. You will not be charged during the trial. If you do not cancel before the trial ends, your payment method will be automatically charged for the plan you selected (monthly or annual), and your subscription will begin.
• Subscriptions renew automatically at the end of each billing period — monthly or annual, matching your selected plan — until canceled. You can cancel anytime before your next renewal date to avoid being charged for the next period; see our Refund & Cancellation Policy for details.
• If you're on the annual plan, we will email you a reminder before your subscription renews, with instructions on how to cancel if you don't want to continue. This notice is in addition to, not instead of, your ability to cancel at any time from your account settings.
• We may change subscription pricing. If we do, we'll give you advance notice before the change applies to your next billing cycle. Continued use of the Service after a price change takes effect means you accept the new price.
• You authorize us and Stripe to charge your chosen payment method on a recurring basis until you cancel.

5. Your Data and Content

You retain ownership of the inventory, sales, and business data you enter or import into CardBasis ("Your Data"). You grant CardBasis a limited license to host, store, process, and display Your Data solely to provide and improve the Service to you. We will not sell Your Data.

If you import data from a third-party source (for example, CollX or another platform), you are responsible for having the right to import and use that data, and CardBasis is not responsible for the accuracy of data originating from a third party.

You are responsible for backing up data you consider critical. While we take reasonable steps to protect Your Data, we recommend exporting records you rely on for tax, accounting, or business purposes.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it;
• Use automated means to scrape or extract data from the Service outside of features we provide for that purpose;
• Resell, sublicense, or provide the Service to third parties as your own product without our written permission.

We may suspend or terminate accounts that violate this section.

7. Third-Party Services

The Service relies on third-party providers, including Stripe (payments), Supabase (data storage and authentication), Vercel (hosting), and SportsCardsPro/PriceCharting (card pricing and valuation data). It may also integrate with third-party platforms such as CollX for data import if you choose to connect them. Our early-access page separately embeds a YouTube video, which is subject to Google's own terms. Your use of any of these integrations may also be subject to that third party's own terms. We are not responsible for the acts, omissions, or downtime of third-party providers.

8. Intellectual Property

CardBasis and its logos, branding, software, and platform design are owned by CardBasis LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or underlying software beyond the limited right to use the Service as intended.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PRICING, VALUATION, OR MARKET DATA IN THE SERVICE IS ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDBASIS AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold CardBasis harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, or for any reason with reasonable notice, except where immediate termination is warranted (e.g., illegal activity or security risk). Upon termination, your right to use the Service ends, though provisions of these Terms that by their nature should survive (ownership, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Kentucky, and you consent to jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
